Terms of Service

1. Acceptance of terms

These terms govern your use of the Clover IQ website at cloveriq.com ("the Site"). By using the Site, you agree to these terms and our Privacy Policy. If you do not agree, do not use the Site.

2. What these terms cover

Clover IQ provides Network as a Service for critical infrastructure. That work includes private wireless, edge AI, video analytics, and mobile deployment at industrial sites.

The Site describes those capabilities in general terms. It does not set commercial terms. Scope, schedule, and any other commitment for a survey or deployment exist only in a signed proposal or service agreement. If a signed document differs from the Site, the signed document controls.

3. Forms are not a booking

Submitting a form on the Site — including "reserve a deployment," a demo request, or the contact form — is not a booking and not a contract. It asks us to start a discovery conversation. It does not reserve equipment, set a date, or obligate either party to go further.

4. Use of the Site

Use the Site only for lawful purposes and in line with these terms. You agree not to:

• Use the Site in any way that violates applicable law
• Attempt to gain unauthorized access to the Site, its APIs, or its systems
• Transmit malicious code or other harmful data
• Submit false, misleading, or spam form entries, or use automated means to abuse forms
• Scrape, crawl, or harvest data from the Site without our prior written consent
• Reverse engineer, decompile, or attempt to extract source code from the Site or its software
• Interfere with or disrupt the Site

5. Intellectual property

Content on the Site — including text, graphics, logos, images, documents, and software — belongs to Clover IQ or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from that content without our prior written consent.

6. Resources and downloads

The Site may offer whitepapers, guides, reference architectures, and articles. They are general information. By reading or downloading them, you agree that:

• They are for your internal business use
• You will not redistribute, resell, or republish them without permission
• They are not engineering, legal, or safety advice for a specific site or deployment

7. No warranty for site information

The Site and its content are provided "as is" and "as available," without warranties of any kind, either express or implied. Clover IQ does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Technical descriptions, capabilities, case studies, and timelines on the Site are general information. They are not a promise that the information is current, complete, or achievable at your site. A case study describes a type of work. It is not a commitment to repeat that result.

8. Limitation of liability

To the extent Texas law allows, Clover IQ is not liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site, or your inability to use it, even if we have been advised of the possibility of those damages. This limit does not apply to liability that Texas law does not allow us to disclaim, including liability for gross negligence or intentional misconduct.

These terms limit liability for the website and its content only. Liability for a survey, deployment, or other service is set only in the signed agreement for that work. These terms do not limit or expand that liability.

9. Third-party links

The Site may link to other websites or rely on third-party services, such as hosting and analytics. Clover IQ does not control those sites or services and is not responsible for their content or policies. Your use of them is subject to their own terms.

10. Privacy

How we collect and use personal information is described in our Privacy Policy, which is part of these terms by reference.

11. Indemnification

You agree to indemnify and hold harmless Clover IQ and its officers, directors, employees, and agents from claims, damages, losses, or expenses arising out of your use of the Site or your violation of these terms. This section applies to use of the Site. It does not cover liability for deployed services, which is set only in the applicable service agreement.

12. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

A dispute arising out of these terms or your use of the Site must be brought in the state or federal courts located in Dallas County, Texas. You consent to the personal jurisdiction of those courts. These terms do not require arbitration.

13. Severability

If a court holds any part of these terms unenforceable, the rest remains in effect.

14. Changes to these terms

We may update these terms. The new version is effective when we post it on this page with a new effective date. That posting is how we notify visitors. We do not send an individual email for each change. If you keep using the Site after the effective date, you accept the updated terms.
